MERGERS & ACQUISITIONS

First Bermuda Securities’ principal-based advisory culture enables us to understand the strategic, capital and financing needs of small to medium sized privately held companies.

Recognizing that no two businesses are alike, we consider each client’s individual strategic needs, operating model and efficiency, market position and business culture in order to construct and assist in implementing an optimal capital structure for the client. In particular, we recognize the importance of entrepreneurs to focus on the operations of their company and to align processes to ensure the task of finding an acquiring partner is minimally distracting.


COMPLIANCE SERVICES

First Bermuda Securities is active in developing, documenting and implementing compliance solutions for investment-related companies and businesses operating in international markets​.  First Bermuda Securities provides compliance oversight and remediation for one-time projects or on an ongoing, part time basis​.

Services include:

  • Preparing policies and procedures manual (Written Supervisory Procedures)

  • Providing inaugural assessments to identify gaps or deficiencies between proposed​ Written Supervisory Procedures and applicable regulations

  • Developing an implementation plan and overseeing steps to remedy all deficiencies identified​ in the gap analysis

  • Designing changes in governance required to ensure adequate ongoing oversight

  • Reporting on a regular basis up through the applicable governance structure on progress made against implementation milestones agreed   ​

  • Overseeing the corporate governance framework and compliance functions in Bermuda​

  • Overseeing contract review and documentation, regulatory compliance and interpretation​

  • Conducting updated reviews of various charter documents, policies and procedures​

  • Coordinating compliance reviews and activities with non-Bermuda locations as necessary​

  • Managing the licensing and compliance interactions with the Bermuda Monetary Authority​

  • Serving as Bermuda-based Senior Representative as defined in the IBA for Class A registered​ investment companies​

  • Providing ongoing insourced compliance services​


LISTING SERVICES

FBS is a listing sponsor on the BSX and TISE for fixed income debt issues including insurance-linked securities, collective investment schemes, depository receipts and other non-equity issues.

Services:

  • Prospectus review and compliance assurance with respect to listing regulations

  • Assessment of the issuer and the nature of the transaction to ensure listing suitability

  • Introductions to Bermuda and Channel Islands professional service providers

  • Coordination of issuer and lead counsel regarding the timing of listing steps, background information and bespoke characteristics of the listing relative to listing requirements

  • Preparation of the listing application and ancillary documents

  • Interface with the appropriate Exchange to obtain review comments and feedback for submission of final listing application

  • Continuing obligation follow-up including

    – Coordination between the issuer and the Exchange with respect to notification of any material events or changes to listed securities;
    – Maintenance of ongoing communication with and administrative advice to the issuer; and
    – Assistance with responses to enquiries from the Exchange regarding the listed security and its standing.
